Terms of Service

1. Acceptance of Terms

By accessing or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you use MemoryPing for an organization, you represent that you have authority to bind that organization, and "you" includes that organization.

You must be at least 13 years old and legally able to enter into these Terms. If the law where you live requires a higher age for digital services, you may use MemoryPing only if you meet that age requirement or have valid permission from a parent or legal guardian.

2. Description of Service

MemoryPing is a reminder assistance and memory-organization tool. It can interpret natural-language messages, create and schedule reminders, store notes or memories, send notifications, help search or organize saved information, and offer related productivity features. The Service may be available through third-party messaging platforms and may use automated or AI-assisted processing.

Features may vary by platform, location, account, or subscription. We may add, modify, suspend, or discontinue features when reasonably necessary to operate, secure, or improve the Service.

3. Accounts, Messaging Platforms, and Payments

You may need an account with WhatsApp, Telegram, or another third-party platform. Your use of those platforms is governed by their own terms, and MemoryPing is not responsible for their acts, availability, or account decisions. You are responsible for keeping your devices, platform accounts, and access credentials secure and for activity under your account.

If you purchase a paid plan, you authorize our payment provider to charge the disclosed fees and applicable taxes. Billing intervals, renewal terms, and cancellation options will be shown at purchase. Except where law requires otherwise or the purchase terms state otherwise, fees already paid are non-refundable.

4. User Responsibilities

You agree to provide accurate information, review reminder confirmations, maintain correct device and messaging settings, and use the Service lawfully. You are responsible for:

• confirming that reminder text, date, time, time zone, recurrence, and recipient are correct;
• keeping your contact and account information current;
• obtaining any permission needed before providing another person's information or asking us to contact them;
• maintaining independent records or backup methods for important obligations; and
• promptly reporting suspected unauthorized use or security issues.

5. Reminder Accuracy Disclaimer

MemoryPing assists with reminders; it is not a guaranteed alert, emergency, monitoring, or recordkeeping service. Natural-language interpretation, AI processing, time-zone conversion, recurring schedules, networks, devices, and third-party messaging systems can produce errors, delays, duplicates, or missed notifications.

6. Prohibited Uses

You may not use the Service to:

• violate law, regulation, court order, or another person's rights;
• harass, threaten, deceive, exploit, stalk, spam, or send unlawful or unsolicited communications;
• submit content that is illegal, abusive, defamatory, infringing, or intended to facilitate harm;
• impersonate another person or misrepresent your identity, affiliation, or authority;
• access another person's account or data without authorization;
• probe, disrupt, overload, reverse engineer, bypass limits or security controls, introduce malicious code, scrape, or misuse the Service;
• use automated means to create accounts or send messages except through interfaces we expressly permit; or
• use the Service for emergency dispatch, high-risk systems, or unlawful surveillance.

7. Service Availability

The Service may experience planned maintenance, outages, delays, data loss, capacity limits, or interruptions caused by software defects, networks, hosting providers, WhatsApp, Meta, Telegram, AI providers, payment providers, devices, or events outside our control. We do not guarantee that MemoryPing will be uninterrupted, timely, secure, error-free, or available on every platform or in every location.

We may impose reasonable usage limits and may suspend access when needed for maintenance, security, legal compliance, platform compliance, or protection of the Service and its users.

8. Intellectual Property

MemoryPing and its software, branding, design, text, graphics, features, and other service materials are owned by MemoryPing or its licensors and are protected by applicable intellectual-property laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable right to use the Service for its intended purpose.

Your content

You retain any rights you have in reminder text, notes, and other content you submit. You grant MemoryPing a worldwide, non-exclusive, royalty-free license to host, store, reproduce, transmit, adapt, and process that content only as reasonably necessary to operate, secure, support, and improve the Service. This license ends when the content is deleted from our active systems, except to the extent it remains in backups or must be retained by law.

If you provide feedback or suggestions, you permit us to use them without restriction or compensation, but we are not required to do so.

9. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided "as is" and "as available." MemoryPing disclaims all express, implied, and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and reliability. We do not warrant that the Service will meet your needs or that stored information or reminders will never be lost, delayed, or altered.

Nothing in these Terms excludes a warranty or consumer right that cannot lawfully be excluded.

10. Limitation of Liability

To the maximum extent permitted by law, MemoryPing and its operators, affiliates, service providers, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from or related to the Service or these Terms, even if advised that such damages are possible.

To the maximum extent permitted by law, our total liability for all claims arising from or related to the Service or these Terms will not exceed the greater of (a) the amount you paid MemoryPing for the Service during the six months before the event giving rise to the claim or (b) US$25.

These limitations do not apply to liability that cannot legally be limited or excluded. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

11. Termination

You may stop using MemoryPing at any time and may request account deletion using our Data Deletion Instructions. Cancelling a paid plan stops future renewals according to the cancellation terms shown for that plan; it does not automatically delete your data.

We may suspend or terminate access if you materially or repeatedly violate these Terms, create risk or legal exposure, misuse the Service, fail to pay applicable fees, or if a platform or law requires us to do so. Where practical, we will provide notice and an opportunity to address the issue, but we may act immediately to protect users, the Service, or others.

Sections that by their nature should survive termination—including intellectual property, disclaimers, limitations of liability, and provisions concerning disputes or accrued obligations—will survive.

12. Changes to Terms

We may update these Terms to reflect changes to the Service, platforms, law, or business practices. We will post the revised Terms here and update the effective or last-updated date. For material changes, we will provide additional notice through the Service or another appropriate channel when required. Continued use after updated Terms take effect means you accept them; if you do not agree, you must stop using the Service.

13. General Terms

These Terms and the Privacy Policy are the entire agreement between you and MemoryPing concerning the Service. If any provision is found unenforceable, it will be modified only as much as necessary, and the remaining provisions will remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent; we may assign them in connection with a reorganization, financing, merger, acquisition, or transfer of the Service.
